Humble Artist Foundation Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the website and services provided by Humble Artist Foundation (“Humble Artist Foundation,” “we,” “us,” or “our”), a non-profit organization based in Saint Petersburg, Florida. Please read these Terms carefully before using our website or participating in any sweepstakes, contests, promotions, or donation activities we offer (collectively, the “Services”).

1. Acceptance of Terms

By accessing, browsing, or using our website or any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the website or Services.

If you use the Services on behalf of another person or entity, you represent and warrant that you are authorized to accept these Terms on that person’s or entity’s behalf and that such person or entity agrees to be responsible to us if you or that person or entity violates these Terms.

2. Description of Service

Humble Artist Foundation operates a charitable sweepstakes website that raises funds to support artists and the arts community. Through our website, users may enter sweepstakes, make voluntary donations, learn about our mission and programs, and access related content and information.

We may add, modify, or discontinue features, sweepstakes, donation options, or other aspects of the Services at any time, with or without notice, subject to applicable law.

3. Eligibility

To participate in any sweepstakes or make donations through our website, you must:

  • Be a legal resident of the 49 United States and the District of Columbia (VOID IN NEW YORK, Puerto Rico, and all US territories and possessions); and
  • Be at least 18 years of age (or the age of majority in your jurisdiction, if higher) at the time of entry or donation.

By using the Services, you represent and warrant that you meet these eligibility requirements and that all information you provide is truthful, accurate, and complete. Certain sweepstakes or promotions may have additional eligibility criteria set out in the Official Rules or specific promotional materials. Where there is a conflict between these Terms and any Official Rules, the Official Rules will govern with respect to the applicable sweepstakes or promotion.

4. Intellectual Property

All content and materials on the website and in connection with the Services, including but not limited to text, images, graphics, logos, videos, audio, design elements, software, and the overall look and feel of the website (collectively, the “Content”), are the property of Humble Artist Foundation or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

Except as expressly permitted by us in writing, you may not reproduce, distribute, display, perform, publish, transmit, modify, create derivative works from, or otherwise use any Content for any commercial or non-commercial purpose. You may access and view the website and print or download limited copies of Content solely for your personal, non-commercial use, provided that you do not remove or alter any copyright, trademark, or other proprietary notices.

All trademarks, service marks, logos, and trade names displayed on the website are the property of Humble Artist Foundation or their respective owners. Nothing in these Terms or on the website grants you any license or right to use any such marks without our prior written consent or the consent of the applicable owner.

Artists submitting demo tracks, guest mixes, or performing at foundation events retain full ownership of their intellectual property. By submitting content or performing, you grant Humble Artist Foundation a non-exclusive, royalty-free license to stream, play, and promote the material for event operations and promotional media

5. User Conduct

You agree to use the website and Services only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree that you will not:

  • Use the website or Services for any unlawful, fraudulent, or malicious purpose or in violation of any applicable law, regulation, or third-party right;
  • Attempt to gain unauthorized access to any portion or feature of the website, to any other systems or networks connected to the website, or to any of our servers, by hacking, password “mining,” or any other illegitimate means;
  • Submit, transmit, or provide any false, inaccurate, or misleading information, including in connection with sweepstakes entries, donations, registration, or communications with us;
  • Interfere with or disrupt the operation of the website or Services or any servers or networks used to make the website or Services available, including by introducing viruses, malware, or other harmful code;
  • Use any robot, spider, scraper, or other automated means to access the website for any purpose without our express written permission; or
  • Engage in any other conduct that, in our sole discretion, restricts or inhibits any other person from using or enjoying the website or Services, or that may harm Humble Artist Foundation or our users.

6. Sweepstakes

From time to time, Humble Artist Foundation may offer sweepstakes, contests, or similar promotions (collectively, “Sweepstakes”). Participation in any Sweepstakes is subject to these Terms and to the specific Official Rules and any additional terms and conditions made available for that Sweepstakes, which are incorporated by reference into these Terms.

NO PURCHASE OR DONATION IS NECESSARY TO ENTER OR WIN ANY SWEEPSTAKES. A PURCHASE OR DONATION WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

The Official Rules will describe, among other things, eligibility requirements, entry methods (including any free alternative method of entry), entry periods, prize descriptions and approximate retail values, winner selection and notification procedures, and any other material terms. In the event of any inconsistency between these Terms and the Official Rules for a particular Sweepstakes, the Official Rules will control with respect to that Sweepstakes.

7. Donations

Users may choose to make voluntary monetary donations to support Humble Artist Foundation and its charitable mission to support artists and the arts community. All donations are voluntary and non-refundable, except where required by applicable law.

Humble Artist Foundation is a Florida non-profit corporation with 501(c)(3) tax-exempt status currently pending before the IRS. Contributions may become retroactively tax-deductible once the official IRS determination letter is issued, but we make no guarantees regarding immediate tax-deductibility. You should consult with your own tax advisor.

By submitting a donation, you represent and warrant that you are authorized to use the payment method you provide and that the information you provide is accurate and complete. You agree that we may use third-party payment processors to process donations and that your use of such services may be subject to the terms and privacy policies of those third parties.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, SERVICES, CONTENT, AND ANY SWEEPSTAKES, PRIZES, OR OTHER MATERIALS OR INFORMATION PROVIDED BY OR ON BEHALF OF HUMBLE ARTIST FOUNDATION ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WITHOUT LIMITING THE FOREGOING, HUMBLE ARTIST FOUNDATION EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT OR INFORMATION AVAILABLE THROUGH THE WEBSITE OR SERVICES, OR REGARDING THE OUTCOMES OF ANY SWEEPSTAKES OR DONATION ACTIVITIES.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUMBLE ARTIST FOUNDATION, ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE WEBSITE OR SERVICES, YOUR PARTICIPATION IN ANY SWEEPSTAKES, OR YOUR DONATIONS OR RELIANCE ON ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUMBLE ARTIST FOUNDATION’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE WEBSITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE DONATED TO HUMBLE ARTIST FOUNDATION THROUGH THE WEBSITE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, IF ANY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR WARRANTIES. TO THE EXTENT THAT SUCH LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Humble Artist Foundation and its directors, officers, employees, volunteers, agents, partners, and affiliates from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your access to or use of the website or Services; (b) your participation in any Sweepstakes; (c) your donations or other transactions made through the website; (d) your violation of these Terms or any applicable law or regulation; or (e) your violation of any rights of any third party.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.

11. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the website, the Services, any Sweepstakes, or any donations shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.

Subject to any mandatory arbitration or other dispute resolution provisions that may be set forth in the Official Rules for a particular Sweepstakes or in other agreements between you and us, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the website or Services shall be brought exclusively in the state or federal courts located in or serving Pinellas County, Florida, and you hereby consent to the personal jurisdiction and venue of such courts and waive any objection as to inconvenient forum.

12. Changes to Terms

We may update, modify, or otherwise change these Terms from time to time, in our sole discretion and as permitted by applicable law. When we make changes, we will revise the “Effective date” at the top of this page and may provide additional notice by posting a prominent notice on the website or by other reasonable means.

Your continued access to or use of the website or Services after any changes to these Terms have been posted will constitute your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the website and Services.
